PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE WSG PLATFORM. BY CREATING AN ACCOUNT, SUBSCRIBING, OR PARTICIPATING IN ANY WSG TOURNAMENT OR GAME, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
1. INTRODUCTION AND ACCEPTANCE OF TERMS

These Terms and Conditions (“Terms”) govern your access to and use of the World Series of Golf platform, including the WSG Scorecard App available at scorecard.wsg.golf, the WSG website at wsg.golf, and all related services, tournaments, and content (collectively, the “Platform”) operated by World Series of Golf Inc., a Nevada corporation (“WSG,” “we,” “us,” or “our”).
By accessing or using the Platform, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy. If you are accessing the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
We reserve the right to modify these Terms at any time. Changes will be posted to the Platform with an updated effective date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

2. ACCOUNT REGISTRATION

To access the full features of the Platform, you must create an account by providing a valid email address, a password, and your name. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to provide accurate, current, and complete information during registration and to update your information as necessary. WSG may require phone number verification as an additional account security measure; phone verification is administered through Twilio Inc. and will be disclosed at the time it is requested.
WSG reserves the right to suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms. You may not create more than one account, transfer your account to another person, or use another person’s account without their express permission and WSG’s prior written consent.

3. SUBSCRIPTIONS AND PAYMENTS

3.1 Subscription Plans
Access to tournament play and certain features of the Platform requires an active paid subscription. WSG offers the following subscription options:
● Annual (Standard): $99.99 per year. Full access to all Platform features for 12 months.
● Annual (Topgolf Satellite Series): $49.99 per year. Available exclusively to players who register for the WSG x Topgolf Satellite Series. Includes full annual Platform access and tournament entry at your selected Topgolf location. Eligibility is verified at registration; WSG reserves the right to revoke this pricing if eligibility requirements are not met.
● Monthly: $9.99 per month. Full access to all Platform features, billed monthly.
● Per Game: $4.99 per game. Single-game access. Does not include tournament entry or Eagle Points accrual beyond the single session.
The Annual subscription represents the best value and is the recommended plan for regular players and tournament participants. Subscription pricing, terms, and available plans are displayed at wsg.golf and scorecard.wsg.golf at the time of purchase. WSG reserves the right to change subscription pricing with reasonable notice to existing subscribers.
3.2 Billing and Renewal
Annual and Monthly subscriptions are billed in advance for their respective billing periods. Per Game subscriptions are billed at the time of game creation. Annual and Monthly subscriptions will automatically renew at the end of each billing period unless you cancel before the renewal date. Per Game subscriptions do not auto-renew. You authorize WSG to charge your payment method on file for each renewal period where applicable.
3.3 Promo Codes
WSG may issue promotional codes that provide free subscription periods, Eagle Points, or other benefits. Promo codes are single-use, non-transferable, and subject to expiration dates and usage limits. WSG reserves the right to revoke promo codes that are used fraudulently or in violation of these Terms.
3.4 Refunds
All subscription fees are non-refundable except where required by applicable law. Per Game fees are non-refundable once a game session has been initiated. If a game session fails to launch due to a Platform error, you may request a credit or refund by contacting support@wsg.golf within 7 days of the failed session.
If you believe any charge was made in error, contact WSG support within 30 days of the charge at support@wsg.golf. Users in jurisdictions where consumer protection laws provide statutory refund or cooling-off rights (including certain EU member states and the United Kingdom) retain those rights notwithstanding this section.
3.5 Payment Processing
Payments are processed through Stripe, Inc., a third-party payment processor. By providing payment information, you agree to Stripe’s terms of service and privacy policy, available at stripe.com. WSG does not store your full payment card information.

4. THE WSG GAME FORMAT AND SKILL-BASED PLAY

4.1 Skill-Based Format
The WSG platform offers a patented skill-based golf competition format combining golf performance with a strategic wagering mechanic. The outcome of each game is determined primarily by a player’s golf skill, shot-making, and strategic decision-making. WSG is not a gambling platform and does not operate as a casino, sportsbook, or wagering service.
4.2 Virtual Currency and In-App Bankrolls
The in-app betting mechanic uses a virtual bankroll assigned to each player at the start of each game. This virtual currency has no cash value, cannot be withdrawn, transferred, or redeemed for real money through the Platform, and exists solely to track game outcomes within the WSG format. The movement of virtual currency during a game reflects competitive gameplay and skill-based decisions, not financial transactions.
4.3 Real Money Game Mode
The Platform includes an optional Real Money Game mode that allows players to track externally agreed buy-in amounts and calculate theoretical payouts based on game outcomes. When Real Money Game mode is enabled:
● The Platform tracks buy-in amounts and calculates outcomes for informational purposes only.
● The Platform does not collect, hold, transfer, process, or distribute any real money or funds of any kind.
● All financial settlement between players occurs entirely outside the Platform, directly between the participating players in person.
● WSG is not a party to any financial arrangement between players and accepts no liability for any real money transactions between users.
● Players use Real Money Game mode entirely at their own risk and are responsible for compliance with all applicable laws in their jurisdiction.
By enabling Real Money Game mode, you acknowledge that WSG provides only a calculation and tracking tool and that you bear sole responsibility for any financial arrangements made with other players.
4.4 Birdie AI VIP Host
The Platform includes Birdie, an AI-powered VIP host designed to personalize your WSG experience. Birdie is powered by Kallie (an AI host platform) and ElevenLabs (voice synthesis). Birdie may engage with you via text and voice, capture player notes, and reference your game history to provide personalized assistance.
Before your first Birdie AI interaction, you will be presented with a disclosure and consent screen identifying Birdie as an AI assistant and explaining how your conversational data, including voice recordings, will be processed. Your use of Birdie AI is governed by our Privacy Policy, available at wsg.golf/privacy. You may opt out of Birdie AI at any time through your account settings without affecting your access to the rest of the Platform.
4.5 No Guarantee of Outcome
WSG does not guarantee any particular game outcome, tournament result, or prize award. All competitive results are determined by player performance and skill. WSG reserves the right to void any game or tournament result in cases of technical error, rules violations, or fraud.

5. EAGLE POINTS AND LOYALTY PROGRAM

WSG operates an Eagle Points loyalty program that awards points based on platform activity, tournament participation, and promotional offers. Eagle Points determine a player’s loyalty tier (Bogey, Par, Birdie, Eagle, Albatross) and may unlock tier-specific benefits.
Eagle Points have no cash value, are non-transferable, and may not be redeemed for money or monetary equivalents. WSG reserves the right to modify, suspend, or terminate the Eagle Points program at any time with reasonable notice. Accumulated Eagle Points may be forfeited if your account is terminated for violations of these Terms.

6. TOURNAMENTS AND PRIZE EVENTS

6.1 Tournament Entry
Participation in WSG tournaments, including the WSG x Topgolf Satellite Series and WSG Championship events, may require an active subscription, payment of tournament entry fees, and compliance with event-specific rules. Tournament rules, entry requirements, schedules, and prize structures are published on wsg.golf and are incorporated into these Terms by reference.
6.2 Eligibility
Tournament participants must be at least 18 years of age. WSG employees, officers, directors, and their immediate family members are not eligible to participate in prize events. WSG reserves the right to verify the identity and eligibility of any participant at any time.
6.3 Prize Awards
Prizes are awarded at WSG’s discretion in accordance with published tournament rules. Prize values are stated at the time of tournament announcement and are subject to change prior to the start of the event. WSG is not responsible for taxes arising from prize awards. Winners may be required to complete tax documentation, including IRS Form W-9 or W-8BEN for international winners, before receiving prizes.
6.4 Disqualification
WSG reserves the right to disqualify any participant for cheating, manipulation of game data, use of unauthorized software, unsportsmanlike conduct, violation of these Terms, or any other conduct that WSG determines to be contrary to the integrity of the competition. Disqualified participants forfeit any prizes associated with the affected event.

7. USER CONDUCT

By using the Platform, you agree that you will not:
● Attempt to manipulate game outcomes, bankrolls, scores, or leaderboard data through any unauthorized means.
● Use automated tools, bots, scripts, or software to interact with the Platform.
● Share your account credentials with others or use another user’s account.
● Engage in harassment, abusive language, or threatening behavior toward other users or WSG staff.
● Attempt to reverse engineer, decompile, or extract source code from the Platform.
● Upload or transmit viruses, malware, or any other malicious code.
● Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
● Misrepresent your identity, golf handicap, or eligibility for any tournament.
Violations of this section may result in immediate account suspension or termination without refund, forfeiture of Eagle Points and tournament entries, and where appropriate, referral to law enforcement authorities.

8. INTELLECTUAL PROPERTY

All content on the Platform, including but not limited to the WSG name, logo, game format, scoring system, software, graphics, text, and tournament formats, is the property of World Series of Golf Inc. or its licensors and is protected by United States and international intellectual property laws.
The WSG game format is protected by issued patents held by World Series of Golf Inc. Unauthorized reproduction, imitation, or commercial use of the WSG format or any patented game mechanics is strictly prohibited.
You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to sublicense, sell, resell, transfer, assign, or commercially exploit any portion of the Platform.

9. PRIVACY AND DATA

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference and available at wsg.golf/privacy. By using the Platform, you consent to the collection, use, and processing of your information as described in the Privacy Policy.
We collect information necessary to operate the Platform, including your name, email address, phone number (when phone verification is active), game history, and payment information. We do not sell your personal information to third parties. We share information only with service providers necessary to operate the Platform, including Stripe (payment processing), Supabase (database and infrastructure), ElevenLabs (Birdie AI voice processing), Kallie (Birdie AI host platform), and Twilio (phone verification).
Birdie AI conversational and voice data is processed as described in the Privacy Policy. Users in the European Union, United Kingdom, California, Canada, and other jurisdictions with specific privacy rights may exercise those rights by contacting privacy@wsg.golf. Additional jurisdiction-specific rights and disclosures are set out in full in the Privacy Policy.

10. DISCLAIMERS AND LIMITATION OF LIABILITY

10.1 Platform Provided As-Is
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WSG DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WSG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WSG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF WSG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WSG’s total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount you paid to WSG in the twelve months preceding the claim.
10.3 Real Money Game Disclaimer
WSG EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY FINANCIAL ARRANGEMENTS, DISPUTES, OR LOSSES ARISING FROM OR RELATED TO THE REAL MONEY GAME MODE. WSG IS NOT A FINANCIAL INSTITUTION, PAYMENT PROCESSOR, OR GAMBLING OPERATOR. ALL REAL MONEY SETTLEMENT IS ENTIRELY BETWEEN PLAYERS AND OUTSIDE THE PLATFORM.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless World Series of Golf Inc. and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, your violation of any applicable law or regulation, or any dispute between you and another user of the Platform.

12. TERMINATION

WSG reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to violation of these Terms, fraudulent activity, extended account inactivity, or discontinuation of the Platform.
Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, and limitation of liability.
You may terminate your account at any time by contacting support@wsg.golf. Termination does not entitle you to a refund of any subscription fees already paid, except as required by applicable law as described in Section 3.4.

13. DISPUTE RESOLUTION AND GOVERNING LAW

13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.
13.2 Informal Resolution
Before initiating any formal dispute, you agree to contact WSG at legal@wsg.golf and attempt to resolve the dispute informally. WSG will attempt to resolve the dispute within 30 days of receiving written notice.
13.3 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Clark County, Nevada. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
13.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
13.5 Exceptions
Nothing in this section limits WSG’s right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

14. GENERAL PROVISIONS

14.1 Entire Agreement
These Terms, together with the Privacy Policy and any event-specific rules published on the Platform, constitute the entire agreement between you and WSG with respect to your use of the Platform and supersede all prior agreements, representations, and understandings.
14.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.
14.3 Waiver
WSG’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without WSG’s prior written consent. WSG may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
